3. Service Description

Assulin Services provides website design and development services for small businesses, entrepreneurs, and individuals. Our services include but are not limited to:

  • Website design and development
  • Website hosting setup
  • Domain registration assistance
  • Content creation and integration
  • Basic SEO setup
  • Post-launch support

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information necessary for the completion of your project
  • Review and provide feedback on website drafts in a timely manner
  • Supply content (text, images, logos, etc.) as needed, or authorize us to create/source content on your behalf
  • Ensure all content provided does not infringe on any third-party rights
  • Obtain any necessary licenses for third-party content
  • Pay all agreed-upon fees according to the payment schedule

5. Payment Terms

All payments are due as specified in your service agreement or invoice. Unless otherwise stated:

  • A non-refundable deposit of 50% of the total project fee is required to begin work
  • The remaining balance is due upon completion of the project and before the website goes live
  • For ongoing services, payment is due according to the agreed-upon schedule
  • Late payments may result in work being paused until payment is received
  • Refunds are issued at our discretion and typically only if we fail to deliver the agreed-upon services

6. Project Timeline and Delivery

We strive to complete all projects within the estimated timeframe. However, the actual completion time depends on:

  • Timely provision of required content and feedback
  • Scope of the project and any changes requested
  • Unforeseen technical challenges

Significant delays caused by the client may result in timeline adjustments or additional fees.

7. Ownership and Intellectual Property

Upon full payment of all invoices:

  • You retain ownership of all content you provide (text, images, logos, etc.)
  • You receive a license to use any third-party elements we've incorporated (themes, plugins, images, etc.)
  • We retain ownership of custom code, templates, and methodologies unless explicitly transferred to you
  • We reserve the right to display your website in our portfolio unless otherwise agreed

8. Website Hosting and Maintenance

While we assist with hosting setup, you are responsible for:

  • Ongoing hosting fees with your chosen provider
  • Domain registration renewal
  • Regular website maintenance (unless a maintenance package is purchased)
  • Security and backup of your website (unless included in your service package)

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:

  • Use or inability to use our services
  • Unauthorized access to or alteration of your data
  • Statements or conduct of any third party on our service
  • Any other matter relating to our services

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us for the applicable service.

10. Indemnification

You agree to indemnify and hold harmless Assulin Services, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including attorney fees) arising from your use of our services or violation of these Terms.

11. Termination

Either party may terminate the service agreement with written notice if:

  • The other party breaches any material term of these Terms and fails to remedy within 14 days
  • The other party becomes insolvent or bankrupt

Upon termination:

  • All fees due for services rendered must be paid
  • If terminated by you without cause, no refunds will be issued for deposits or payments made
  • If terminated by us without cause, a pro-rated refund may be issued for services not rendered

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, both parties agree to submit to binding arbitration in Miami, Florida, under the rules of the American Arbitration Association.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Assulin Services regarding our services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
